WealthFluent Terms of Use Agreement

Description of the WealthFluent Services

WealthFluent, operated by Ripsaw LLC, is a comprehensive platform that provides automated access to an individual or family’s assets and liabilities (balance sheet), combined with relevant financial market data to analyze risk and expected return characteristics. The platform automates monitoring of portfolio changes due to evolving market conditions and includes “what if” analytics to evaluate how asset allocation revisions could impact risk and expected return metrics for individual securities, accounts, and the aggregate portfolio before executing trades.

WealthFluent (operated by Ripsaw LLC) is independent and is not, and does not intend to become, a financial advisor or provide any advice regarding your personal investment decisions. We provide the platform and tools solely to assist you in managing your own finances.

Our goal is to offer a wealth management solution for a clearer view of your financial picture. Our services (“Services”) include the following features, delivered through our website, application, marketing partners, and communications with our professionals:

  • Financial Account Aggregation: As an optional service, WealthFluent, acting as your authorized agent, retrieves financial account information (e.g., balances, transactions, and holdings) from institutions you designate. To use this, you provide credentials, enabling secure connections to third-party institutions for presentation on our platform. Accounts are refreshed regularly for up-to-date information.
  • AI Assistant: As an optional feature, WealthFluent provides an AI-powered assistant (the “AI Assistant”), hosted on Amazon Bedrock, that serves as a tool to help you explore and organize your financial information. The AI Assistant has secure access to your account data, holdings, financial plans, goals, and related information in the same manner as the rest of the platform. It is designed to respond to your queries by summarizing, analyzing, or presenting your data in a user-friendly way to support your self-directed financial decision-making. The AI Assistant does not provide financial advice, investment recommendations, or personalized strategies; it is solely an informational tool to assist you in reviewing your own data. You remain fully responsible for all decisions made using insights from the AI Assistant. Due to the probabilistic nature of artificial intelligence and machine learning, outputs from the AI Assistant may be inaccurate, incomplete, non-unique (similar outputs may be generated for other users), biased, or otherwise unreliable. Outputs do not represent WealthFluent’s views and should not be relied upon as factual or a substitute for professional judgment.

About WealthFluent

Ripsaw LLC, doing business as WealthFluent (collectively, “WealthFluent,” “we,” “us,” or “our”), is a Colorado limited liability company established in September 2017 and headquartered in Edwards, CO. We provide a platform with tools to help you make decisions to improve your financial well-being, offering a consolidated view of your finances with up-to-date information.

Agreement and Acceptance of Terms

This Terms of Use Agreement, including any exhibits, disclosures, addendums, or amendments (collectively, this “Agreement”), governs your access and use of our platform, tools (“Wealth Tools”), and Services. Users of our Services are referred to as “users.”

Your use is also subject to our Privacy Policy, which details how we collect, use, disclose, and manage personal information. Undefined terms in this Agreement have the meanings in the Privacy Policy.

Please read this Agreement and the Privacy Policy carefully. THIS AGREEMENT REQUIRES BINDING ARBITRATION FOR DISPUTE RESOLUTION (SEE SECTION 19).

By accessing or using the application or Services, you agree to be bound by this Agreement and the Privacy Policy, as amended. If you disagree, do not use the Services. You confirm:

  • You can enter legally binding contracts, and this Agreement binds you like a signed paper contract.
  • You will not use the Services if unwilling to comply.

WE ARE NOT RESPONSIBLE FOR THIRD-PARTY FINANCIAL PRODUCTS, SERVICES, OR DATA ACCURACY DISPLAYED THROUGH OUR PLATFORM. While our tools, including the AI Assistant, may aid financial management, consult a professional advisor before investment decisions or major strategy changes. The AI Assistant is not a financial advisor and does not replace professional judgment.

We may amend this Agreement, the Privacy Policy, or discontinue Services/features at any time. Changes will be posted on our website or application and effective upon posting. We may modify or suspend your access without notice or liability.

The Services are for individuals at the legal age of majority (typically 18 or older) in their jurisdiction. You may not access if under that age.

Disclaimers

Using the Services, you acknowledge that investment results from our information cannot be guaranteed. All investments involve risk of loss, including volatility, principal loss, currency fluctuations, political/economic instability, interest rate changes, and reporting differences. Consult a professional advisor before decisions.

You agree:

  • We do not provide financial advice, including on investments, insurance, securities, or planning. This includes the AI Assistant, which is an informational tool only and does not offer advice, recommendations, or endorsements.
  • You are solely responsible for your financial decisions, whether using our Services (including the AI Assistant) or not. Any outputs from the AI Assistant are based on your data and general algorithms; they may contain errors, omissions, or inaccuracies due to the limitations of AI technology, and you must independently evaluate and verify them (including through human review) before any use. Do not use AI Assistant outputs for decisions that could have legal, financial, or material impacts on you or others, such as in credit, insurance, employment, housing, or medical matters.
  • We are not a broker-dealer; brokerage access occurs via the broker’s site, and transactions are processed there, not through us or the AI Assistant.
  • We are not liable for advice from third parties accessed via our Services.
  • We use reasonable efforts but do not guarantee the Services are virus-free; use anti-virus software.
  • You are responsible for hardware/software needed to access the Services.
  • Safeguard your credentials; notify us immediately of unauthorized access at support@wealthfluent.com. We are not liable for losses from unreported unauthorized use.
  • The AI Assistant relies on third-party hosting (Amazon Bedrock) and may be subject to downtime, errors, or limitations beyond our control. Outputs from the AI Assistant are generated using machine learning models and may not be accurate, complete, or current; they are provided for informational purposes only and should not be relied upon for any financial action.

Authorization to Access Accounts on Your Behalf

For account aggregation and related features, including the AI Assistant, you authorize us to retrieve Account Information from third-party institutions as your agent. We may use third-party providers, subject to our Privacy Policy. By using the AI Assistant, you further authorize it to access and process your account data, holdings, plans, goals, and related information securely within our platform to respond to your queries.

YOU GRANT US AUTHORITY TO ACCESS THIRD-PARTY SITES, RETRIEVE INFORMATION, AND USE IT TO PROVIDE SERVICES, INCLUDING VIA THE AI ASSISTANT. WE ACT AS YOUR AGENT, NOT THE THIRD PARTY’S. THIRD PARTIES MAY RELY ON THIS AUTHORIZATION. The Services are not endorsed by third-party providers.

Registration and Personal Information

To use the Services, create an account by providing Personal Information (per Privacy Policy). See Privacy Policy for details.

Consent to Electronic Communications

By providing your email, you consent to electronic notices about Services. Communications are “in writing” and deemed received within 5 business days of posting/sending. Consent lasts until you terminate your relationship. Keep your contact info accurate; we may terminate electronic delivery with notice per law.

Cost of Service

Some Services are free (e.g., trials), but paid subscriptions charge a fee in advance to your provided credit card. Fees are non-refundable, though prorated for upgrades/downgrades in some cases. Upgrades grant immediate access; downgrades continue until term end. Subscriptions auto-renew monthly/annually unless canceled via profile, billing section, or support@wealthfluent.com before renewal. No refunds for paid fees, though we may grant exceptions at our discretion. Contact support@wealthfluent.com for requests.

Perpetual/lifetime plans are one-time fees for ongoing access at the purchased tier, non-transferable, and available only while we generally offer the Services.

We may change pricing/tiers at our discretion.

Data and Data Integrity

We aim for accurate financial data but do not guarantee accuracy, timeliness, or completeness of information from third parties. We are not liable for data issues, interruptions, or losses. This includes any data processing or outputs generated by the AI Assistant, which may reflect inaccuracies in underlying data or AI limitations. Confirm valuations independently.

Other Obligations While Using the Services

  • Confidentiality: Protect your login; use anti-virus. Report fraud to support@wealthfluent.com.
  • Accurate Information: Provide complete, accurate info.
  • Prohibited Actions: Do not: (i) risk your credentials; (ii) use for illegal purposes; (iii) transmit unlawful/harmful content; (iv) resell/commercialize; (v) reverse engineer; (vi) use automated tools without consent; (vii) transmit viruses; (viii) create accounts unauthorized; (ix) transfer/resell Services/data. Additionally, do not use the AI Assistant to seek or interpret it as providing financial advice, or for illegal, harmful, or high-risk activities (e.g., those impacting legal or material outcomes for individuals).
  • Consent to Recording: You consent to recording correspondence/conversations, usable in legal proceedings. We may audit for compliance, including AI interactions.

Third-Party Software and Service Providers

We use third-party tools; you may need to agree to their terms. The AI Assistant is hosted on Amazon Bedrock, a third-party service, and its performance depends on that provider. Third-party sites have their own terms/privacy policies—review them. Social media content is subject to those platforms’ policies. We are not liable for any issues arising from third-party services, including hosting or data processing for the AI Assistant.

Ownership, Copyright, and Trademark

We or licensors own all technology/content (e.g., look/feel, text, graphics), including AI-generated outputs (which you may use solely for your personal, non-commercial purposes under the limited license granted herein). We grant a limited, revocable license for personal, non-commercial use. Do not copy/reproduce without consent. “WealthFluent” and logos are our trademarks.

Disclaimer of Representation and Warranty; Disclaimer of Liability

SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS, AND NON-INFRINGEMENT. Use at your risk. We are not liable for errors, interruptions, force majeure, or access issues. No guarantees on security, quality, or error correction. Downloads are at your risk. The AI Assistant may produce inaccurate, incomplete, or biased outputs due to AI limitations; we disclaim all liability for such outputs or any reliance thereon. We are not experts under securities laws and do not warrant compliance with regulations. We are not responsible for decisions/losses from use, including from the AI Assistant. Limitations may not apply where prohibited by law.

Limitation of Liability

OUR LIABILITY IS LIMITED TO $500 USD. We are not liable for indirect, incidental, consequential damages (e.g., lost profits, data), substitute costs, unauthorized access, third-party performance, or related matters, even if advised. This includes any damages from use of the AI Assistant, its outputs, or reliance on them. You are responsible for mobile/network requirements; no warranties on availability/security. Limitations may not apply where prohibited.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, war, terrorism, strikes, embargoes, power failures, or supplier delays.

Ending Your Relationship with WealthFluent

Terminate by closing your account via profile or support@wealthfluent.com (subject: “CANCEL”). We delete data per Privacy Policy. We may terminate for breach, legal requirements, discontinuation, disagreement with terms, or any reason, without affecting prior rights/obligations. Provisions that by their nature should survive termination (e.g., disclaimers, liability limitations, indemnification) will do so.

Governing Law and Venue

Governed by Colorado law (excluding conflicts). Subject to arbitration, exclusive jurisdiction/venue in Denver County state courts or Colorado federal courts.

Arbitration

ANY DISPUTE ARISING FROM SERVICES/AGREEMENT SHALL BE RESOLVED BY BINDING ARBITRATION VIA JAMS STREAMLINED RULES, APPLYING COLORADO LAW. Sole arbitrator; judgment enforceable in specified courts. No preclusion of equitable relief. DISPUTES INDIVIDUALLY, NOT CLASS/REPRESENTATIVE; YOU WAIVE JURY TRIAL AND CLASS ACTIONS. Arbitrator allocates costs/fees, determining prevailing party.

Change of Terms

We may revise; check periodically. Notice via email or posting. Continued use binds you.

Indemnification

You indemnify us, affiliates, etc., against claims from your use, violations, IP infringement, or account misuse, including fees/costs. This includes claims related to the AI Assistant or reliance on its outputs. We may control defense; no settlement without consent.

Not a Financial Advisor, Manager, Planner, Legal Advisor, or Tax Advisor

Services aid management but provide no financial, tax, or legal advice. WealthFluent is not, and does not intend to act as, a financial advisor, manager, or planner. The AI Assistant is not a substitute for professional advice and does not provide financial, investment, tax, or legal recommendations. Consult professionals for decisions.

Waiver and Severability

No waiver by non-enforcement. Invalid provisions severed without affecting others.

Assignment

We may assign this Agreement without your consent. You may not assign without our written consent.

This Agreement (with Privacy Policy/documents) is entire, superseding priors. Conflicts resolved by addendums, etc.
